These Terms of Service ("Terms") are a legal agreement between you and Sun City Systems LLC ("Sun City Systems," "we," "us," or "our") and govern your access to and use of our website (suncitysystems.com) and our product Volume Reach, including its web and mobile applications (together, the "Services"). Please read them carefully.
1. Acceptance of these terms
By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms. If you do not agree, do not use the Services.
2. The Services
Volume Reach is a business messaging platform that lets businesses send and receive text messages (SMS/MMS) with their contacts, manage conversations in a shared inbox, and use related features. We may add, change, or discontinue features from time to time to improve the Services.
3. Eligibility & accounts
You must be at least 18 years old and able to form a binding contract to use the Services. You are responsible for the information you provide, for keeping your login credentials confidential, and for all activity that occurs under your account. Notify us promptly at info@suncitysystems.com if you suspect unauthorized use.
4. Acceptable use & messaging rules
You agree to use the Services lawfully and responsibly. In particular, when using Volume Reach to send messages, you agree to:
- Send messages only to recipients who have provided the required consent to be contacted;
- Comply with all applicable laws and regulations, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM, and other communications, privacy, and consumer-protection laws;
- Comply with mobile carrier requirements and industry standards, including A2P registration and messaging guidelines;
- Promptly honor opt-out and do-not-contact requests; and
- Provide accurate sender identification and not impersonate any person or entity.
You may not use the Services to send unlawful, deceptive, harassing, or harmful content; to send spam or unsolicited messages; to transmit malware; to infringe others' rights; or to attempt to disrupt, reverse engineer, or gain unauthorized access to the Services. We may suspend or limit access to protect the Services, our users, or third parties.
5. Your content & responsibilities
You retain ownership of the content you submit through the Services ("Your Content"). You grant us a limited license to host, process, and transmit Your Content as necessary to provide the Services. You are responsible for Your Content and for ensuring you have the rights and consents needed to send it. As between you and us, you are the party responsible for your messaging program and your relationships with your recipients.
6. Intellectual property
The Services, including the Volume Reach software, design, and the Sun City Systems and Volume Reach names and logos, are owned by Sun City Systems LLC and protected by intellectual-property laws. Except for the rights expressly granted to you, we reserve all rights. You may not copy, modify, distribute, or create derivative works from the Services without our permission.
7. Third-party services
The Services rely on third-party providers (for example, mobile carriers and messaging providers, push-notification services such as Apple APNs and Google FCM, and cloud hosting). Your use of those services may be subject to their own terms, and we are not responsible for third-party services outside our control.
8. Plans & fees
Some features of the Services require a paid plan. Any applicable fees, billing terms, and plan details are presented separately when you subscribe or purchase. Unless stated otherwise, fees are non-refundable except as required by law. We are not responsible for charges you may incur from your mobile carrier or other providers.
9. Disclaimers
The Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that messages will always be delivered, as message delivery depends on carriers and other parties outside our control.
10. Limitation of liability
To the maximum extent permitted by law, Sun City Systems LLC and its owners, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services. To the maximum extent permitted by law, our total liability for any claim relating to the Services will not exceed the greater of the amounts you paid us for the Services in the twelve (12) months before the claim or one hundred U.S. dollars (US$100).
11. Indemnification
You agree to indemnify and hold harmless Sun City Systems LLC from claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Services, Your Content, your messaging activity, or your violation of these Terms or applicable law.
12. Termination
You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Services or other users. Provisions that by their nature should survive termination (such as intellectual property, disclaimers, limitation of liability, and indemnification) will survive.
13. Governing law
These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in El Paso County, Texas will have exclusive jurisdiction over any dispute that is not subject to other agreed dispute-resolution terms, to the extent permitted by law.
14. Changes to these terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Services after an update means you accept the revised Terms.
